GROUND I: SUBSTANTIVE & ONGOING COMMERCIAL TRADING CA 2006 s.1000(4)

1. The Applicant, WESTMINSTER ACCOUNTANCY LIMITED, acts as appointed accountants, tax advisers, and statutory secretarial agents for the Subject Entity, ACTIVE CLIENT TRADING LIMITED (Company No. 04088172).

2. The Applicant hereby confirms and certifies to the Registrar of Companies that the Subject Entity has at all material times been, and continues to be as of the date of this Application, actively carrying on business and in commercial operation within the meaning of Section 1000(4) of the Companies Act 2006.

3. The Subject Entity employs staff, maintains active supplier and merchant facilities, leases operational business premises at Principal Trading Premises, United Kingdom, and engages in daily commercial transactions. The publication of the First Gazette Notice was the result of an administrative postal misdirection rather than any cessation of business or intent to dissolve.

GROUND II: IRREPARABLE INJURY & COMMERCIAL BANK ACCOUNT FREEZING BONA VACANTIA RISK

4. If dissolution proceedings under Section 1000 proceed unchecked, the Subject Entity will suffer immediate and catastrophic commercial injury.

URGENT BANKING NOTICE PURSUANT TO CA 2006 SECTION 1012:
Automated algorithmic risk-monitoring feeds utilised by major UK commercial clearing banks (including Barclays, HSBC, Lloyds, and NatWest) automatically identify First Gazette Notices. Strike-off will cause the immediate freezing of the Subject Entity's operational trading accounts, preventing payroll dispatch, VAT remittances to HMRC, and supplier settlements. Furthermore, pursuant to Section 1012 of the Act, all credit balances and corporate property will forthwith forfeit to the Crown as bona vacantia.
GROUND III: OUTSTANDING REMEDIATION FILINGS IN PREPARATION FILING STATUS

5. The underlying administrative default giving rise to the Section 1000 notice relates solely to outstanding statutory returns. The Applicant confirms that the requisite remediation filings—specifically the annual Confirmation Statement (Form CS01), statutory annual accounts, and Director Identity Verification updates under the Economic Crime and Corporate Transparency Act 2023 (ECCTA 2023)—are currently in active preparation and final partner review.

FORMAL PROFESSIONAL UNDERTAKING (21-DAY REMEDIATION)
The Applicant, WESTMINSTER ACCOUNTANCY LIMITED, in its capacity as an authorised professional practice and corporate secretarial agent, hereby gives its formal professional undertaking to the Registrar of Companies in Cardiff to deliver all overdue statutory accounts, confirmation statements, and ECCTA 2023 filings to Companies House Cardiff within twenty-one (21) days of the granting of this stay.
