Legal Consequences of Company Restoration

Under Section 1028 of the Companies Act 2006, the general effect of administrative restoration is that the company is deemed to have continued in existence as if it had not been dissolved.

CORPORATE CONTINUITY
Automatic Retroactive Validity
All acts performed by directors, contracts executed, and proceedings instituted during dissolution are automatically ratified with full retrospective legal effect.
ASSET DIVESTMENT
Crown Property Re-vesting
Property vested in the Crown as bona vacantia automatically reverts to the company. If the Crown disposed of the asset, it pays compensation equal to consideration received.
COMMERCIAL LEASES
Commercial Leasehold Reinstatement
Unless the Crown explicitly disclaimed the lease under Section 1013, commercial tenancy agreements and property leases automatically revive in favour of the restored company.

Frequently Answered Legal Enquiries

Key legal principles governing company restorations and bona vacantia in the UK.

Can a company dissolved more than 6 years ago be restored?
Not via administrative restoration under s.1024. If more than 6 years have elapsed since dissolution, an application can only be made by petitioning the High Court under Section 1029. Exceptions exist for personal injury claimants who face no limitation period.
Can a voluntary strike-off (Form DS01) be administratively restored?
No. Administrative restoration under s.1024 is strictly restricted to companies dissolved by the Registrar under compulsory strike-off (s.1000 or s.1001). Companies dissolved voluntarily via Form DS01 must apply to the High Court under s.1029.
What happens to bank accounts upon dissolution?
Under Section 1012 of the Companies Act 2006, all assets (including bank cash, property, and IP) immediately vest in the Crown as bona vacantia. Banks freeze the accounts the instant dissolution is published in the London Gazette.
Must old late filing penalties be paid to restore the company?
Yes. Any late filing penalties that were incurred by the company prior to strike-off must be paid to Companies House before the Registrar will issue the certificate of restoration.
Who has standing to apply under Section 1024?
Under Section 1024(2), the only persons entitled to apply for administrative restoration are individuals who were directors or shareholders (members) of the company at the time of dissolution. Creditors cannot apply administratively and must use the court route.
How long does administrative restoration take?
Treasury Solicitor BVC14 waiver letters typically take 2–3 weeks. Once lodged with Companies House Cardiff alongside outstanding accounts, the certificate of restoration is generally issued within 2–4 weeks.
